Company formation is a legal service that should always be provided by an officially registered service provider. Recently, there have been an increasing number of reports of scammers who appear to be completely genuine, trying to swindle money from unsuspecting clients with misleading offers.

Please be careful and follow these basic principles:
Always check the credibility of the provider – check the company’s official details, online presence and references.
Never pay cash! Always make sure that you use a billed, traceable bank transfer.
Do not fall for exorbitant prices or promises of “fast-track procedures” if they are not transparent, verifiable and legal.

Just because someone advertises their services, has a website and an office does not mean they are a qualified professionals.

Not all businesses are legally feasible to set up, don’t take the ‘yes’ for every question.
Consult a qualified  lawyer in case of a dubious offer.

If you are unsure about an offer, always ask for more information and check the reliability of the provider.

How to establish a Slovak company?

First, you need someone to help you navigate the Slovak bureaucracy - and in English. Someone you can trust. Someone you know is professional and cares about you.

Who should start a company in Slovakia?

Entrepreneurs who want to expand in Slovakia or who can work from anywhere in the world.

Anyone whose business is linked to Slovakia or can be easily relocated to Slovakia.

By contrast, businesses that are localised (e.g. a hotel in Germany, a beauty salon in Hungary or a café in Romania) cannot take advantage of this opportunity.

For example, running a hotel in Germany through a company in Slovakia doesn't make much sense.

Starting a business in Slovakia: which is the better choice?

Starting a new company or buying a ready-made company?

You can choose between two options: setting up a new company or buying a ready-made VAT-registered company already established by us. Both have advantages and disadvantages, so it’s worth considering which one best suits your business goals.

Company formation

Advantages
  • Full control: the company is created in the name of the founders, you can set up the operating rules to suit your own needs.
  • Cheaper: starting a new company costs less than buying a ready-made company.
Disadvantages
  • Complicated VAT registration: the complete VAT registration process for new companies is more complex and time-consuming.
  • More time-consuming start-up: Incorporation and registration takes around 10-14 days, but VAT registration can take up to a few months.

Transaction-free, ready-made company

Advantages
  • Immediate operation: immediately usable after signing the documents, registration of company changes can be done in 3-5 working days (no need to wait).
  • Immediate VAT payer status: the company is already registered for VAT deduction, can be used for international transactions.
Disadvantages
  • Background check: If you are buying a company that is not brand new and transaction free, it is difficult to check the company's history.
  • More expensive: buying an existing company costs more than starting a new one.

The most important things to know about setting up a company in Slovakia

  • The whole process of setting up or buying a company can be done remotely.

  • Corporate income tax:

    10% or 21% of the tax base (not profits).

    Please note that in many cases 21% is still less than the 5% applied in many countries, as Slovakia provides a number of tax base reduction items.

  • VAT: 5%, 19% or 23%

  • Dividend tax: 7%, between companies 0%

  • The official currency is EUR.

  • The political situation is stable.

The owner can also be the managing director and does not have to be an employee, so there is no payroll tax or insurance.
The managing director of the company can only be a citizen of an EU or OECD member state or a person with a registered address in Slovakia.
You do not need to deposit the share capital in a bank account (you only need to declare that it has been paid).
Starting a Slovak company in 3 easy steps

Step 1:

Step 2:
We will prepare the documents for signature within one working day.

Our lawyer is responsible for all administrative tasks. You will only be in contact with us. You will only have one thing to do: return the scanned documents to us after they have been signed and certified.

Step 3:
Establish the company, transfer documents.

We will apply for your business licence (which takes on average 2 working days to issue), register you with the Companies Registry (which takes on average 5 working days) and, if necessary, register you for VAT based on the objectives (the deadline for this varies depending on the type of VAT).

If you buy a ready-made VAT registered company, we change all the details in one step, which only takes a few working days.

Once everything is in place, we will hand you all the documents and congratulate you on your Slovak company.

In 10-14 days you can have your new Slovak company up and running, or you can start your business almost immediately if you buy a company we have set up!

By the time we get to this point, you will know exactly what you need to do: keep double-entry books, keep an eye on the official eGovernment gateway, publish annual accounts, provide representation to the authorities, etc.

No, the bank account has to be set up by the company’s managing director, after the company has been registered, which we can also help you with.

No, a natural person can be a founder or member of only three limited liability companies (s.r.o.).

However, a one-person company cannot be the sole founder of another company. In the case of multiple founders or members, there is no limit.
